FCM is seeking an exceptional individual to chair the Green Municipal Fund Council, and who can commit the time and energy required to fulfill this position and demonstrate:

  • depth and strength of character that are fundamental to effective boardroom culture, behaviour, and functioning;
  • an ability to think independently, act in the best interests of GMF and FCM, and be free from any real or perceived conflicts of interest; and,
  • an appetite and ability to participate actively in the Council’s work.

The ideal incumbent will be recognized as a champion of environmental sustainability issues with a deep knowledge and experience with the Canadian municipal sector and the issues and opportunities for strategic capital investments in innovative municipal projects driving GHG reductions and environmental performance.

In addition to the qualities and characteristics we look for in our GMF Council Members, the GMF Chair needs to also demonstrate the following:

  • Exhibit exceptional ethical integrity and leadership in acting in the best interests of GMF and to support the fiduciary responsibilities of the FCM Board;
  • A strong emphasis on financial literacy and a broad knowledge of investment matters in order to address ongoing initiatives such as increasing the capacity of the Fund through partnerships with government and the private sector, as well as funding and investment strategies;
  • Strong ability to communicate effectively with peers and FCM senior management staff;
  • A commitment to providing strategic leadership to the Council and an understanding of the role of staff;
  • Strong governance skills and experience;
  • Experience building council/board unity, solidarity, and trust;
  • Willingness to put in time to meet with GMF staff;
  • Ability to represent GMF and FCM and articulate the vision and objectives of the fund to federal government Ministers and senior staff;
  • Skill in facilitating discussions;
  • An ability to coach Council members, collectively and individually, to ensure full utilization of member capabilities and optimum performance of the Council; and,
  • Ability to establish and promote harmonious and effective working relationships within the Council and with stakeholders that might be involved with the Council.

Additional, but not required, assets that the incumbent may bring to the role include:

  • Experience in supporting an organization going through similar growth;
  • Strong connections with relevant stakeholders and networks in the municipal climate change and environmental sectors;
  • The ability to communicate effectively in French; and,
  • Those representing a visible minority group in Canada.

Why serve as the Chair on the GMF Council?

Chairing the Council is an opportunity to contribute at a strategic level to municipal sustainable development and to the environment. GMF projects will challenge and inspire you as you witness the positive difference they make in communities.

The GMF Council Chair provides leadership, guiding the Council and coordinating its activities to enhance its effectiveness. The Chair oversees strategic Council operations and directs the affairs of Council to ensure its focus. The Chair also act as the focal point in managing relationships between FCM senior management and GMF Council members.

What are the duties of the Chair?

As GMF Council Chair, supported by a team of dedicated staff, you will:

  • Direct the affairs of GMF Council and facilitate discussions;
  • Preside over all meetings of the Council in an efficient and effective manner, ensuring orderly deliberation and decision-making of the Council;
  • Review and ensure completeness of Council agendas;
  • Build Council unity, solidarity, and trust;
  • Participate in committee meetings;
  • Coach GMF Council members, collectively and individually, to ensure the fullest use of member capabilities and the optimal performance of Council;
  • Act as the GMF Council’s liaison with FCM staff; and,
  • Act as the liaison and representative of GMF to the FCM Board, translating the activities and strategy of GMF to that municipal elected body.

What are the expectations of the GMF Council Chair?

The GMF Chair serves for a minimum term of two years, renewable at the discretion of the FCM Board.

The GMF Council meets approximately 10 times per year; this includes four day-and-a-half face-to-face meetings in Ottawa and approximately six 90-minute web-based meetings. The GMF Council Chair is an ex-officio member on all four committees of Council – Audit, Investment, Governance, and LC3 – which generally meet four times a year. The current COVID-19 pandemic has led to a modified Council meeting schedule including a move to exclusively online meetings. As things evolve GMF will revise the meeting schedule and re-introduce face-to-face meetings only when safe and appropriate.

A calendar of all meeting dates is established at the beginning of each year. Occasional ad hoc meetings may be held by telephone or web conference. Members agree to participate in such calls wherever possible, to ensure a quorum.

All Council members are expected to follow the Confidentiality, Code of Conduct, and Conflict of Interest policies of GMF.

Supplemental Information:

FCM compensates GMF Council members only if they are not members of the FCM Board of Directors for their time or efforts. The current honorarium is a total of $700 for a full-day face-to-face meeting, which covers preparation time and attendance. The honorarium for a web-based meeting is a total of $350 for preparation and attendance.

Expenses incurred for traveling (airfare, taxi, personal mileage) to a Council meeting will be reimbursed. GMF staff will arrange for direct billing for hotel accommodations and meals are provided during meetings. GMF staff are available to assist with travel arrangements, including the purchase of airline tickets.

FCM will provide a comprehensive orientation and one-on-one training on the Fund for the incumbent GMF Council Chair. Briefings will also be held with the current GMF Chair, the CEO, and the Managing Director, GMF to assist you to gain insight into the culture of the organization and to discuss your role as GMF Council Chair.

The successful candidate can expect to be appointed to the GMF Council by March 2022 and taking on the role of GMF Council Chair in April. This will allow time for training and to ensure some overlap with the outgoing Chair.

About the Green Municipal Fund (GMF)

FCM’s mandate includes delivering programs that help build municipalities’ capacity to do what they do best: deliver innovative, cost-effective, local solutions to environmental challenges. The Green Municipal Fund is one of FCM’s flagship programs contributing to this objective. The GMF equips communities with the means to plan, design, and implement sustainability projects. GMF-supported initiatives aim to improve air, water, and land, and to reduce greenhouse gas emissions. About the GMF Council

The Green Municipal Fund Council is comprised of 18 members. One-third of the members are Government of Canada representatives, one-third are municipal officials, and one-third are members from the public, academic, environmental, and private sectors. GMF Council members are leaders in the federal, municipal, and environmental sectors, and are innovators and champions of environmental sustainability. FCM strives to ensure diversity in gender, ethnicity, regions, and community sizes among GMF Council members.

Council members’ work is supported by their collective, in-depth knowledge and expertise in areas of: risk management, accounting and auditing, investment and fund management, the law as it applies to organizations and funds like FCM and GMF, communications, community engagement, capacity building in the Canadian municipal context, and other related disciplines. Able to provide a balanced perspective, GMF Council members exhibit exceptional ethical integrity as they act in the best interests of GMF and FCM. They speak with one voice, are collaborative in approach, and are capable and familiar with fulfilling a governance role for the GMF and its applications, as well as providing an advisory role to FCM’s national Board of Directors. Always willing to actively and effectively listen, learn, and develop, they ask challenging questions and exercise sound judgment as they diligently apply themselves to the work of the GMF Council. They proactively make wise, strategic choices based on proven best practices.
